Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Eligibility: Total Rewards The Road to Fame Sweepstakes (the "Promotion") is open only to legal residents of the fifty (50) United States (including District of Columbia) and Canada (excluding Quebec) who are at least twenty one (21) years old at the time of entry. Employees, officers and representatives of Harrah's Operating Company, Inc. and its parent, subsidiaries or affiliates (collectively "Harrah's"), ePrize, LLC, Metro-Goldwyn-Mayer Studios Inc. ("MGM"), as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee who is of director level or above and/or involved in coordinating/executing promotions are not eligible. Individuals who are excluded from casino facilities, including through a government program, at Harrah's discretion, or by their own request, are not eligible. If asked, entrant must provide valid proof of age by way of valid picture identification (driver's license, passport, state identification card, or military identification card). Subject to all applicable federal, state, provincial, territorial, municipal and local laws and regulations. Void where prohibited. Participation constitutes entrant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator's decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Promotion consists of a sweepstakes (the "Sweepstakes") and an instant win game (the "Instant Win Game").

2. Sponsor: Harrah's Operating Company, Inc., One Harrah's Court, Las Vegas, NV 89119, U.S.A. Administrator: ePrize, LLC, One ePrize Drive, Pleasant Ridge, MI, 48069, U.S.A. Metro-Goldwyn-Mayer Studios Inc. and its parents, affiliates and subsidiaries, are not responsible for the Promotion, and its administration or execution.

3. Timing: The Promotion begins on July 3, 2009 at 12:00 a.m. Eastern Time ("ET") and ends on August 17, 2009 at 11:59 p.m. ET (the "Promotion Period"). Administrator's computer is the official time keeping device for this Promotion.

4. How to Enter: During the Promotion Period, visit http://www.totalrewards.com/roadtofamesweeps and follow the links and instructions to complete and submit the registration form including a valid home address. P.O. Boxes are not permitted. You will automatically receive one (1) entry into the Sweepstakes, advance to the Instant Win Game page, and receive one (1) Instant Win Game play for that day. Once on the Instant Win Game page, follow the links and instructions to play the Instant Win Game. Entrants will be notified immediately if they are potential winners of the Instant Win Game and will be provided directions for validation. Administrator is responsible for the functionality of the Instant Win Game.

Limit: Each participant may enter/play one (1) time per day during the Promotion Period. Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more than the stated number of plays/entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's plays/entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified. In the event of a dispute as to any registration or play, the authorized account holder of the email address used to register will be deemed to be the entrant, provided that person meets the eligibility requirements to participate in the Promotion. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder. If a dispute cannot be resolved to the Administrator's satisfaction, the entry will be deemed ineligible. The submission of an entry is solely the responsibility of the entrant. Proof of sending (such as an automated computer receipt confirming delivery of email or "thanks for entering" message does not constitute proof of actual receipt by Sponsor of an entry for purposes of this Promotion. Only eligible entries actually received by Sponsor's server before the end of the Promotion Period will be included in the Promotion. Illegible, unintelligible, incomplete, garbled, lost, late, misdirected, forged, altered, or mutilated entries will be disqualified.

5. Sweepstakes/Instant Win Game: Administrator is an independent judging organization whose decisions as to the administration and operation of the Promotion and the selection of potential winners are final and binding in all matters related to the Promotion. Sweepstakes: Administrator will randomly select the potential Sweepstakes winners from all eligible entries received during the Promotion Period, on or around August 18, 2009. Instant Win Game: Fifty-one (51) random, computer-generated winning times, one (1) for each prize listed below, will be generated during the Promotion Period. If you are the first player to play the Instant Win Game at or after one of the randomly generated times, you will be a potential instant winner of the prize indicated.

6. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE INSTANT WIN GAME OR SWEEPSTAKES SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY, AND THE POTENTIAL INSTANT WIN GAME WINNER AND/OR SWEEPSTAKES WINNER HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY PLAY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE PLAY AND IS VOID AND WILL NOT BE HONORED.

7. Verification of Potential Winners: Potential winners must continue to comply with all terms and conditions of these Official Rules; and winning is contingent upon fulfilling all requirements. Each potential Sweepstakes winner will be notified by email, telephone, or registered mail after the date of random drawing. Except where prohibited, each potential winner must sign and return to Administrator, an Affidavit of Eligibility, Liability and Publicity Release ("Affidavit") (if U.S. resident), or a Declaration of Compliance ("Declaration") (if Canadian resident) in order to claim his/her prize. Each potential Grand Prize winner must return the Affidavit or Declaration within three (3) days of the date notice or attempted notice is sent, and each potential First and Second Prize winner must return the Affidavit or Declaration within ten (10) days of the date notice or attempted notice is sent or potential winner forfeits prize. If a potential winner is a Canadian resident, he/she will also be required to correctly answer a time-limited skill testing question without any assistance in order to be eligible to receive a prize. If a potential winner of any prize cannot be contacted, fails to sign and return the Affidavit or Declaration within the required time period (if applicable), fails to correctly answer a time-limited skill testing question (if applicable), or prize is returned as undeliverable, potential winner forfeits prize and will be disqualified. In the event that a potential winner is disqualified for any reason, Administrator will award the applicable prize to an alternate potential winner by random drawing from among all remaining eligible entries. There will be three (3) alternate drawings, after which the applicable prize will remain un-awarded. First and Second Prizes will be fulfilled approximately 8-10 weeks after the conclusion of the Promotion.

8. Prizes:

a. Sweepstakes Prize: TEN (10) GRAND PRIZES: Each, a trip for one (1) Sweepstakes Grand Prize winner and one (1) travel companion to Las Vegas, NV for a screening of Fame. Trip package includes roundtrip coach-class air transportation for the Grand Prize winner and one (1) travel companion from an airport near the Grand Prize winner's home (determined by Sponsor in its sole discretion) to Las Vegas, NV; two (2) nights accommodations at hotel determined by Sponsor in its sole discretion (single room, double occupancy); ground transportation between hotel and airport; two (2) tickets to the red carpet screening of Fame in Las Vegas (seating determined by Sponsor in its sole discretion); admission for the Grand Prize winner and one (1) travel companion to the screening after party (details determined by Sponsor in its sole discretion); and a $500 Total Rewards gift card (terms and conditions apply). Winner must travel on September 23, 2009 and return on September 25, 2009 or winner forfeits prize. Travel must be roundtrip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability. Travel is subject to the terms and conditions set forth in this Promotion, and those set forth by the Sponsor's airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Travel companion must be at least twenty-one (21) years of age or older as of the date of departure and must travel on same itinerary and at the same time as the winner. Travel companion must execute liability/publicity releases prior to issuance of travel documents. If applicable, winner and travel companion are solely responsible for obtaining valid passports and any other documents necessary for travel between the United States and Canada. Travel restrictions, conditions and limitations may apply. If in the judgment of Sponsor air travel is not required due to winner's proximity to prize location, ground transportation will be substituted for roundtrip air travel at Sponsor's sole discretion and that Grand Prize winner will not receive the difference in prize value. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Neither Sponsor nor MGM is responsible if the Fame red carpet screening or after party are delayed, postponed or cancelled for any reason, in which event that portion of prize is forfeited in its entirety and no substitution will be provided except as in Sponsor's sole discretion. Each Grand Prize winner may be required to provide a credit card to cover incidentals and related expenses at the time of each hotel check-in. Any unused travel or portion of the Grand Prize will be forfeited and no compensation awarded in lieu thereof. If the winner does not accept or use a portion of the Grand Prize, the unaccepted or unused portion of the Grand Prize will be forfeited and Sponsor will have no further obligations with respect to that portion of Grand Prize. Grand Prize cannot be used in conjunction with any other promotion or offer and may not be separated. All tickets issued in conjunction with the Grand Prize are not eligible for frequent flyer miles, and no code-share flights may be used. Released Parties (defined below) are not liable for any expenses incurred as a consequence of flight cancellation/delay. Released Parties (as defined in Section 9 below) expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the Grand Prize or any portion thereof awarded. Approximate Retail Value ("ARV"): $3,000 USD. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value. Odds of winning a Sweepstakes prize depend on the number of eligible entries received during the Promotion Period. Limit: One (1) Sweepstakes Prize per person.

b. Instant Win Game Prizes: ONE (1) FIRST PRIZE: Sony VAIO AR Digital Studio Notebook Computer. ARV: $3,500 USD. FIFTY (50) SECOND PRIZES: Audio 8" Portable DVD Player. ARV: $175 USD. The ARV of electronic prizes is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. Odds of winning an Instant Win Game Prize depend on the number of eligible prizes available divided by the number of Instant Win Game plays. Limit: One (1) Instant Win Game Prize per person.

For all prizes: All prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor's sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. TOTAL ARV OF ALL PRIZES: $42,250 USD.

9. Release: By entering this Promotion, entrant agrees to release, indemnify, defend and hold harmless Sponsor, ePrize, LLC, MGM, and any promotional partners, each of their parent, subsidiary, affiliate and related companies, and each of its and their respective officers, directors, employees, and agents (collectively the "Released Parties") from and against any losses, damages, rights, claim or cause of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Promotion or resulting directly of indirectly, from acceptance, possession, use, or misuse of any prize awarded in connection with the Promotion, including without limitation personal injury, death, and/or property damage, as well as claims based on publicity rights, defamation, and/or invasion of privacy.

10. Publicity: Except where prohibited by law, participation in the Promotion constitutes winners consent to Sponsor's and its agents' use of winner's name, likeness, photograph, voice, opinions and/or hometown and state or province for promotional purposes in any media, worldwide, without further payment or consideration.

11. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes or Instant Win Game, as determined by Sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or Instant Win Game or to be acting in violation of these Official Rules or any other Promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes or the Instant Win Game may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

By entering this Promotion and accepting a prize, the Grand Prize Winner agrees to maintain his/her behavior in accordance with all applicable laws and generally accepted social practices in connection with participation in any Promotion-related activity, including use of the trip prize in the Promotion. The Grand Prize winner understands and agrees that Sponsor has the right, in its sole discretion, to disqualify and remove the Grand Prize winner or his/her travel companion from any activity at any time if the Grand Prize winner's or his/her travel companion's behavior at any point is disruptive or may or does cause damage to person, property, or the reputation of the Released Parties or otherwise violates the policies of the prize providers. NO RESPONSIBILITIES ARE ACCEPTED BY THE RELEASED PARTIES FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR CANCELLATIONS RESULTING FROM ANY ACTS OF ANY GOVERNMENT OR AUTHORITY. EACH GRAND PRIZE WINNER ACKNOWLEDGES THAT HE/SHE IS SOLELY RESPONSIBLE FOR ANY ACTIONS, CLAIMS OR LIABILITIES OF HIS/HER TRAVEL COMPANION RELATED TO ANY SWEEPSTAKES ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY ACTIONS, CLAIMS OR LIABILITIES RELATED TO THE TRAVEL COMPANION'S USE OF THE PRIZE OR ANY PORTION THEREOF.

12. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing, electronic or human errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion or receipt or use or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry in the Sweepstakes or Instant Win Game play, provided that if it is not possible to award another entry due to discontinuance of the Promotion, or any part of it, for any reason, Sponsor, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.

13. Disputes: Entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for Nevada or the appropriate Nevada State Court located in Clark County, Nevada; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant, Sponsor and Promoter in connection with the Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of Nevada, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Nevada, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Nevada.

14. Entrant's Personal Information: Information collected from entrants is subject to the ePrize Privacy Policy http://www.eprize.com/privacy/privacypolicy.html and the Sponsor's Privacy Policy http://www.harrahs.com/privacy.html.

15. Winner List: Winner List requests will only be accepted after the promotion end date (listed above) and no later than November 8, 2009. For the Winner List, visit the promotion website, complete the form at the bottom of the FAQ, and select "Win List Request" in the drop down

16. Miscellaneous: The invalidity or unenforceability of any provision of these Official Rules, Affidavit, or Declaration will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules, Affidavit, or Declaration is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Rules will not constitute a waiver of that provision. For entrants, to the extent there is a conflict between these Official Rules and any terms of use or other agreement posted on the Promotion web site, these Official Rules control.
